I hereby authorise PCS to act as my Agent and agree to the above Commission Fee Schedule applicable to each invoice outstanding by the Debtor.
Each debt to be collected must be supported by invoice/s as part of the engagement of PCS.
CONDITIONAL PAYMENT OF PCS COMMISSION
The Client is to be liable to pay PCS’s full commission ONLY if there is a successful outcome or agreed debt compromise in this matter.
Successful outcome means a recovery from an Agreement in full or part. If there is a successful outcome, you agree to pay the full commission rate, including GST (Goods and Services Tax), in accordance with the method of charging set out above.
AUTHORITY AND AGREEMENT
I am authorised by the Client to sign this Authority to appoint PCS to Act as the Client’s Agent and the information given is true and correct to the best of my knowledge.
I authorise PCS or its nominee, should the Debtor not respond to written requests to satisfy the debt outstanding or has not provided a satisfactory dispute to the claim in writing, to commence the process to register a Debtor Default with a recognized Credit Reporting Agency as permitted by law.
I agree that the agreed commission as particularized in the above Commission Fee Schedule (“the Commission”) plus GST is immediately payable in full by the Client either upon the Debtor paying the debt in full or part thereof and / or upon the Client reaching an agreement with the Debtor in writing to pay the agreed debt in a lump sum or by instalments.
I agree that should the Debt be compromised by agreement with the Client, the Client agrees to pay the full Commission plus GST to PCS as if the Debt were paid in full.
I agree that any payments due to PCS are to be paid in full unless agreed otherwise with the Client after payment of the Commission to PCS before any collections are remitted to the Client.
By signing this authority, PCS agrees to Act as the Client’s Agent to recover the debt outstanding on the Client’s behalf.
SEVERABILITY
If a clause or part of a clause of this Agreement can be read in a way that makes it illegal, unenforceable, or invalid, but can also be read in a way that makes it legal, enforceable, or valid, it must be read in the latter way. If any clause or part of a clause is illegal, unenforceable, or invalid, that clause or part of it is to be treated as removed from this Agreement but the rest of this Agreement remains unaffected.
ACKNOWLEDGMENT
I, by signing this Agreement acknowledge that I have read the Agreement and understood and approve this Agreement and have been advised of my right to get independent legal advice before entering into this Agreement; and agree that I may sign and return this Agreement in any of the following ways:
- sign the Agreement and return it to PCS by hand, post, electronically or other method/s.
- reply electronically to the PCS stating that I agree to the terms and acknowledgments set out in the Agreement received and for the email which contains my printed name or signature to be my signature in the Agreement.
- type my name into the Agreement and confirm by email to PCS that it should stand as my signature in the Agreement; or
- any other method in writing that would identify me as the client and my intention that I wish for my signature to be noted as being applied in the Agreement.
CONFIDENTIALITY
The Parties agree to keep the terms of this Agreement, confidential and further agree not to disclose any such information to any person except where the disclosure:
- is with the prior written consent of the Parties; and/or
- is necessary to comply with any law or the requirement of any regulatory body or other competent authority having jurisdiction over the affairs of the Parties; and or
- is to a Party’s financial or legal advisers for the purposes of obtaining professional advice or assistance in relation to the Agreement; and/or
- is for the purposes of enforcement of this Agreement.
- is if disclosure of the terms of this Agreement is permitted under this paragraph, the obligation of confidentiality shall remain in full force and effect for all other purposes.
GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of Victoria.
WARRANTIES
- All Parties to this Agreement warrant that there is no impediment to them entering into this Agreement.
- Each Party also warrants to the other that they have relied on their own enquiries and have not entered into or signed this Agreement in reliance on or as a result of any representation, promise, statement, conduct or inducement by or on behalf of the other Party otherwise than has been recorded in this document.
- Each Party also warrants that they have had the opportunity to take independent legal advice as to the nature, effect, and extent of this Agreement before the Party signed a copy of this Agreement.
- Each Party is aware that the other Party has relied upon the above warranties in entering into this Agreement.
- The Client warrants that the information included in the attached excel worksheet is/are true and correct.
- The Client warrants the debts identified as owing to the Client are owing as at the date of written instruction to PCS.
ENTIRE AGREEMENT
This Agreement embodies the entire agreement between the Parties in respect the subject matter of this Agreement.
